The Vice President of Compliance, Ethics, Risk Management, and Transactions is a senior executive responsible for developing, implementing, and overseeing the organization’s compliance and ethics programs, risk management strategies, and transactional activities. This role ensures the organization maintains the highest standards of legal and ethical integrity, mitigates risks, and executes transactions in alignment with strategic objectives and regulatory requirements.
ESSENTIAL FUNCTIONS:
1.Compliance & Ethics Leadership (25%)
- Develop, implement, and monitor comprehensive compliance and ethics programs to promote a culture of integrity.
- Stay abreast of relevant laws, regulations, and industry standards; ensure organizational adherence.
- Provide guidance and training on compliance and ethical practices across all levels of the organization.
- Establish and maintain effective channels for reporting and addressing compliance concerns and violations.
2. Risk Management (40%)
- Identify, assess, and prioritize organizational risks across operational, financial, legal, and reputational domains.
- Develop and oversee enterprise risk management frameworks and mitigation strategies.
- Collaborate with senior management to integrate risk considerations into strategic planning and decision-making.
- Conduct regular risk assessments and audits to ensure ongoing compliance and risk mitigation.
3. Transaction Oversight (15%)
- Lead, oversee and collaborate to efficiently execute ACS transactions, including but not limited to grants, vendor, event and service contracts.
- Conduct due diligence, risk assessments, and negotiations to ensure favorable and compliant transaction outcomes.
- Collaborate with legal, financial, and operational teams to structure, review, and execute transactions.
4. Governance & Reporting (10%)
- Ensure governance structures to support compliance and risk management objectives including policies, standard operating procedures and transparent RACIs.
- Prepare and present regular reports to the Chief Legal and Risk Officer, Board of Directors, and executive leadership on compliance, risk, and transaction status.
- Maintain documentation and records related to compliance activities and transaction processes.
5. Team Leadership & Collaboration (10%)
- Lead and develop a team of compliance, risk, and transaction professionals.
- Foster a culture of accountability, transparency, and continuous improvement.
- Collaborate with internal departments and external partners to ensure cohesive compliance and risk strategies.
EXPERIENCE/QUALIFICATIONS:
- Bachelor’s degree in Law, Business Administration, Finance, or related field
- Juris Doctor (JD) from an accredited law school required
- 10+ years of experience in compliance, ethics, risk management, and transactional leadership
KNOWLEDGE, SKILLS, AND ABILITY:
- Proven experience managing complex transactions and leading cross-functional teams.
- Strong understanding of relevant laws, regulations, and industry standards (e.g., GDPR, SOX, anti-corruption laws).
- Exceptional leadership, communication, and stakeholder management skills.
- Demonstrated ability to develop and implement effective compliance and risk management strategies.
- Demonstrated competency in: Strategic Thinking & Problem Solving, Ethical Judgment & Integrity, Regulatory Knowledge, Negotiation & Deal-Making Skills, Leadership & Team Development, Analytical & Critical Thinking,Excellent Communication & Presentation Skills
TRAVEL REQUIREMENTS:
- Occasional travel required.
The starting rate is $185,000 to $230,000. The final candidate's relevant experience/skills will be considered before an offer is extended. Actual starting pay will vary based on non-discriminatory factors including, but not limited to, geographic location, experience, skills, specialty, and education.
